Terms of Service

The agreement that governs your use of Momo Cloud hosting, domains, email, and related services.

1 Acceptance of Terms

These Terms of Service ("Terms") form a legally binding agreement between you ("Customer", "you") and Momo Cloud ("Momo Cloud", "we", "us", or "our"). They govern your access to and use of our website at cloud.momo.tz, our client portal, and all hosting, domain, email, and cloud infrastructure services we provide (collectively, the "Services").

By creating an account, placing an order, or using any part of the Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of an organisation, you represent that you are authorised to bind that organisation. If you do not agree, do not use the Services.

2 Definitions

  • "Account" — the registered profile through which you order and manage Services.
  • "Customer Content" — any data, websites, files, code, or media you upload, store, or transmit using the Services.
  • "Billing Cycle" — the recurring period (monthly, annual, or other) for which a Service is purchased.
  • "AUP" — the Acceptable Use Policy set out in Section 5.
  • "Force Majeure" — events beyond a party's reasonable control, as described in Section 19.

3 Eligibility & Accounts

You must be at least 18 years old and capable of forming a binding contract to use the Services. You agree to provide accurate, current, and complete information during registration and to keep it up to date. We may require identity verification before activating, renewing, or restoring an Account.

You are responsible for safeguarding your credentials and for all activity that occurs under your Account. We strongly recommend enabling two-factor authentication. Notify us immediately at support@cloud.momo.tz if you suspect unauthorised access. You may not share, sell, or transfer your Account without our prior written consent.

4 Our Services

Momo Cloud provides cloud and hosting services, including but not limited to:

  • Shared and managed web hosting
  • WordPress-optimised hosting
  • Virtual Private Servers (VPS) and dedicated servers
  • Business email hosting
  • Domain name registration, transfer, and management
  • SSL/TLS certificates and related add-ons

Service features, resource limits, and specifications are described on the relevant product page or order form. We may improve, modify, or discontinue a Service, giving at least 30 days' advance notice for material adverse changes to paid Services, except where a shorter period is required by law or to address an urgent security or stability risk.

5 Acceptable Use Policy

You agree not to use the Services to:

  • Host, distribute, or transmit content that is illegal under Tanzanian or applicable international law;
  • Send unsolicited bulk or commercial email (spam), or operate open mail relays;
  • Conduct phishing, fraud, impersonation, or social-engineering campaigns;
  • Perform port scanning, network probing, or denial-of-service (DoS/DDoS) attacks;
  • Distribute malware, ransomware, viruses, or other harmful code;
  • Infringe the intellectual property or privacy rights of others;
  • Host child sexual abuse material (CSAM) or any content that exploits or endangers minors;
  • Consume resources in a way that degrades service for other customers, or run cryptocurrency mining without our written consent.

Shared hosting plans are intended for normal website workloads and are subject to fair-use resource limits. Violations of this AUP may result in throttling, suspension, or termination without refund. We cooperate with lawful requests from competent authorities regarding unlawful activity.

6 Your Content & Responsibilities

You retain all ownership of your Customer Content. You grant us a limited, non-exclusive licence to host, store, process, and transmit it solely to the extent necessary to operate and provide the Services to you. You are solely responsible for the legality, accuracy, and licensing of your content.

You are responsible for configuring, securing, and updating your applications, themes, plugins, and software, and for maintaining independent backups of your data. We are not responsible for content loss arising from your configuration, third-party software, or failure to keep your own backups.

7 Fees, Billing & Renewals

Prices are displayed in Tanzanian Shillings (TZS) unless stated otherwise and are exclusive of any applicable taxes or levies, which will be added where required. Fees are payable in advance at the start of each Billing Cycle. We accept mobile money (M-Pesa, Tigo Pesa, Airtel Money), credit/debit cards, and other methods shown at checkout.

Invoices are generated automatically before each renewal and are due within 7 days. If an invoice remains unpaid, the affected Service may be suspended, and the Account may be terminated after 14 days of non-payment.

Automatic renewal: to prevent interruption, eligible Services renew automatically at the then-current rate using your stored payment method. You can disable auto-renewal or cancel a Service at any time from the client portal before the renewal date. Domain renewals follow registry deadlines and may be subject to additional redemption fees if allowed to expire.

8 Refunds & Money-Back Guarantee

30-day money-back guarantee: new shared hosting, WordPress hosting, and email hosting orders qualify for a full refund of the hosting fee if you request it within 30 days of the initial purchase. This guarantee applies once per customer and to first-time orders only.

The guarantee does not apply to domain registrations or transfers, SSL certificates, VPS and dedicated servers, add-ons, overage charges, or renewal invoices, all of which are generally non-refundable once provisioned. Domain fees are non-refundable because they are paid to the registry on your behalf.

To request a refund, contact billing@cloud.momo.tz or open a billing ticket. Approved refunds are issued to the original payment method within 7 business days, subject to processor timelines.

9 Domain Registration

Domain registrations are subject to the policies of the relevant registry and ICANN (or the applicable ccTLD authority), including their dispute-resolution and data-publication rules. By registering a domain, you authorise us to submit your registration data to the registry and agree to those policies.

You are responsible for providing accurate WHOIS contact details and for renewing your domain on time. We are not liable for the loss of a domain resulting from expiry, inaccurate contact data, or registry action. WHOIS Privacy may be available for eligible domains.

10 Service Levels & Credits

We target 99.9% monthly network uptime for shared hosting, VPS, and email Services — roughly 43 minutes of allowable downtime per month. Uptime is measured at our network edge.

Excluded from uptime calculations are: scheduled maintenance (announced at least 48 hours in advance), emergency security maintenance, Force Majeure events, DNS propagation, issues with upstream or third-party providers, and problems caused by your own software or configuration.

If verified monthly uptime for a Service falls below 99.9%, you may request a service credit of up to 10% of that Service's monthly fee. Credits are applied to a future invoice, must be claimed within 30 days of the affected month, and are your sole and exclusive remedy for downtime.

11 Backups & Data Loss

We may maintain routine backups as a courtesy, but backups are provided "as available" and are not a substitute for your own backup regime. You are responsible for retaining independent copies of your Customer Content. We are not liable for any loss or corruption of data. Following account termination, associated data and backups are retained for up to 30 days and then permanently deleted.

12 Suspension & Termination

We may suspend or terminate your Account or any Service, with or without notice where appropriate, if:

  • You breach these Terms or the AUP;
  • Your Account is used for unlawful activity;
  • Payment is overdue by more than 14 days;
  • Your usage threatens the security, integrity, or performance of our infrastructure or other customers; or
  • We are required to do so by law or a competent authority.

You may cancel a Service or close your Account at any time from the client portal. Termination does not relieve you of obligations accrued before the effective date, including any outstanding fees. Sections that by their nature should survive termination (including IP, liability, indemnity, and governing law) will survive.

13 Intellectual Property

The Momo Cloud name, logo, website, software, and all related materials are owned by or licensed to Momo Cloud and are protected by intellectual property laws. Except for the limited rights expressly granted to use the Services, nothing in these Terms transfers any intellectual property to you. You may not copy, modify, resell, or create derivative works from our materials without our prior written consent.

14 Disclaimers & Warranties

To the maximum extent permitted by law, the Services are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure. Any warranty that cannot be excluded under applicable law is limited to the shortest period permitted.

15 Limitation of Liability

To the maximum extent permitted by law, Momo Cloud and its directors, employees, and suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business interruption, arising out of or relating to the Services, even if advised of the possibility of such damages.

Our total aggregate liability for any claim relating to the Services shall not exceed the total amount you paid us for the affected Service during the three (3) months immediately preceding the event giving rise to the claim.

16 Indemnification

You agree to indemnify, defend, and hold harmless Momo Cloud, its affiliates, and their respective directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your Customer Content, your use of the Services, or your breach of these Terms or applicable law.

17 Changes to These Terms

We may revise these Terms from time to time. For material changes, we will provide notice by email or a prominent notice on our website at least 14 days before they take effect. The "Last updated" date above indicates the most recent revision. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

18 Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the United Republic of Tanzania, without regard to its conflict-of-laws principles.

The parties will first attempt to resolve any dispute in good faith through direct negotiation. If a dispute cannot be resolved within 30 days, it shall be submitted to the exclusive jurisdiction of the competent courts of Tanzania. Nothing in this section prevents either party from seeking urgent injunctive relief to protect its rights.

19 General Provisions

  • Entire agreement. These Terms, together with any order forms and policies referenced here, are the entire agreement between us regarding the Services.
  • Severability. If any provision is held unenforceable, the remaining provisions remain in full effect.
  • Waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
  • Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
  • Force Majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control, including outages of upstream providers, power or network failures, natural disasters, or government action.
  • Notices. We may send notices to the email on your Account; you should send formal notices to the address in Section 20.
